The rules for using RUC Pass.

A quick note before the legal details

Welcome to RUC Pass.

These Terms and Conditions explain how RUC Pass works, what you can use the Services for, what we are responsible for, and what remains your responsibility as a vehicle owner, driver, or account holder.

The short version is:

  • RUC Pass helps you manage vehicle information, reminders, Road User Charges (“RUC”), vehicle licensing/registration (“rego”), Warrant of Fitness (“WOF”) information, and related vehicle services.
  • Some features rely on third-party providers, public records, payment systems, public-agency systems, or official vehicle-related processes.
  • You are responsible for checking that your vehicle details are correct and that your vehicle remains legally compliant before it is used on the road.
  • Where you request a RUC purchase, rego renewal, or other transaction through RUC Pass, processing may not be immediate.
  • We will aim to provide a clear, practical, and reliable service, but the Services do not replace your own legal obligations as a vehicle owner, registered person, operator, or driver.

These Terms and Conditions (“Terms”) govern your access to and use of the RUC Pass website at https://www.rucpass.co.nz (the “Site”) and the RUC Pass mobile application (the “App”), together the “Services”.

The Services are operated by RUC ON RAILS LIMITED. RUC Pass is a product and brand of RUC ON RAILS LIMITED and is not a separate legal entity.

RUC Pass is a privately operated vehicle-management service. We do not represent the Crown, the New Zealand Government, the New Zealand Transport Agency Waka Kotahi (“NZTA”), the Ministry of Transport, or any other Crown entity, government department, public agency, or public body.

RUC Pass assists users to access, manage, and request vehicle-related services, including Road User Charges (“RUC”), vehicle licensing/registration (“rego”), Warrant of Fitness (“WOF”) information, vehicle reminders, and related vehicle-management services. In these Terms, “rego” means vehicle licensing or registration. Some vehicle-related services may involve information, systems, charges, licences, labels, records, or data sources administered by public agencies or third-party providers.

By accessing or using the Services, creating a RUC Pass account, adding a vehicle, submitting a purchase request, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Operator and legal identity

1.1 The Site and App are owned and operated by RUC ON RAILS LIMITED, a company incorporated in New Zealand.

1.2 Any reference to “RUC Pass”, “we”, “us”, or “our” refers to RUC ON RAILS LIMITED in its capacity as operator of the Services.

1.3 RUC Pass is a private service provider. We do not represent the Crown, the New Zealand Government, NZTA, the Ministry of Transport, or any other Crown entity, government department, public agency, or public body.

1.4 References to NZTA, the Ministry of Transport, RUC, rego, WOF, vehicle registers, government charges, public records, or other public-sector services are included because those services, obligations, records, or data sources may be relevant to the Services. Any such reference is for identification and contextual purposes only and does not indicate endorsement, sponsorship, approval, authorisation, partnership, representation, or any formal relationship between RUC Pass and any public agency or third party.

2. What the Services are

2.1 RUC Pass provides tools to assist users with vehicle-related information, reminders, purchases, renewals, and obligations.

2.2 The Services may allow you to access, use, manage, request, or receive vehicle-related services and information, including but not limited to the ability to:

  • create a RUC Pass account;
  • add vehicles by registration plate;
  • view vehicle details from third-party, public, commercial, or government-related data sources;
  • view WOF expiry information and related WOF details;
  • view rego expiry information and related vehicle licensing details;
  • view RUC information, expiry estimates, distance information, purchase history, or related RUC details where available;
  • view detailed vehicle information, which may include make, model, year, body type, fuel type, vehicle type, registration status, licence status, odometer history, stolen vehicle indicators, and other vehicle-related records where available;
  • record odometer readings;
  • estimate or monitor RUC distance;
  • receive RUC, rego, WOF, vehicle, account, payment, or reminder notifications;
  • request that RUC be purchased for a vehicle linked to your account;
  • request that vehicle licensing/registration be renewed for a vehicle linked to your account;
  • receive confirmations, receipts, temporary licences, labels, notices, or other records where available;
  • manage vehicle-related information from within the App;
  • close or delete your RUC Pass account;
  • access support relating to your account, vehicle, or purchase request;
  • use any other vehicle-management tools, features, or services made available through the Services from time to time.

2.3 The Services may change over time. Features may be added, removed, amended, delayed, restricted, replaced, or discontinued.

2.4 Nothing on the Services constitutes legal advice, financial advice, tax advice, compliance advice, mechanical advice, inspection advice, or official government guidance.

2.5 You remain responsible for understanding and complying with all legal obligations relating to your vehicle, including RUC, rego, WOF, Certificate of Fitness, distance recorder requirements, vehicle operation, and any other applicable transport laws.

3. Purchase facilitation service

3.1 RUC Pass may allow you to submit purchase, renewal, or transaction requests relating to your vehicle, including RUC purchases and rego renewals.

3.2 When you submit a purchase, renewal, or transaction request through RUC Pass, the transaction for the Services is between you and RUC ON RAILS LIMITED. It is not a transaction between you and the Crown, NZTA, the Ministry of Transport, or any other Crown entity, government department, public agency, or public body.

3.3 When you submit a purchase request through the Services, you authorise RUC Pass to take reasonable steps to arrange, facilitate, or complete the requested transaction for the selected vehicle using the information you provide.

3.4 For the purpose of completing a transaction you request, RUC Pass may act in an administrative or facilitation capacity on your behalf.

3.5 RUC Pass does not set or control government charges, RUC rates, rego charges, statutory fees, official requirements, or public-agency processing rules.

3.6 RUC Pass provides a private service layer to assist users with vehicle-related information, purchases, renewals, and management. Use of the Services does not remove or reduce your responsibility to ensure that your vehicle remains legally compliant.

3.7 The government, statutory, or third-party component of your purchase is applied toward the relevant vehicle transaction you requested. Any RUC Pass service fee, convenience fee, processing fee, payment fee, or other fee is separate and may be retained by RUC Pass.

3.8 The total amount payable will be shown to you before you confirm your purchase. By confirming the purchase, you agree to pay the displayed amount.

3.9 Rates, government charges, third-party charges, payment fees, transaction fees, and regulatory requirements may change. If a relevant amount or requirement changes before we complete your purchase request, or if we identify a genuine material pricing, calculation, technical, promotion, or data error, we may pause or reject the request. We will either tell you the corrected total and obtain your express agreement before proceeding, or cancel the request and promptly refund the amount paid for the uncompleted request to the original payment method. We will not charge an increased amount to your payment method without your express authorisation.

4. Processing times and when coverage starts

4.1 Purchases and renewals through RUC Pass are not instantaneous unless expressly stated.

4.2 When you click “Buy”, “Purchase”, “Confirm”, “Renew”, “Top up”, or any similar button, you are submitting a purchase request. An automated receipt, payment authorisation, payment capture, or acknowledgement that we received your request does not by itself confirm that we have accepted the request for fulfilment or that the relevant RUC licence, rego renewal, confirmation, label, or other record has been issued. We may reject a request before fulfilment only on reasonable grounds described in these Terms.

4.3 For RUC purchases, your vehicle is not covered by the requested RUC until the relevant RUC licence or temporary RUC licence has been successfully issued and made available to you.

4.4 For rego renewals, your vehicle licensing/registration status is not updated until the renewal has been successfully processed and confirmed. You should not rely on a rego renewal being complete until confirmation has been issued or the relevant public record has updated.

4.5 RUC Pass aims to process eligible purchase requests seven days a week.

4.6 In most cases, where a RUC purchase request is accepted and all required information is correct, a temporary RUC licence or confirmation will be emailed or made available within 12 hours.

4.7 Processing may take longer where:

  • payment is delayed, declined, reversed, flagged, or requires review;
  • vehicle details are incorrect, incomplete, unavailable, or inconsistent;
  • the odometer reading, hubodometer reading, distance, vehicle type, or weight information appears incorrect;
  • third-party, payment, banking, public-agency, or data systems are unavailable or delayed;
  • additional manual review is required;
  • suspected fraud, misuse, unlawful activity, account compromise, or security risk is identified;
  • we need further information from you;
  • the request is submitted during high-volume periods, outages, maintenance, or technical incidents.

4.8 You must not use a vehicle on the road unless you have confirmed that all required vehicle obligations are current and valid, including RUC, rego, WOF, COF, and any other applicable legal requirement.

4.9 RUC Pass is not liable for fines, infringement fees, enforcement action, penalties, losses, vehicle downtime, costs, or other consequences arising because you used a vehicle before a RUC licence, rego renewal, or other required status was issued, updated, or valid.

5. Vehicle information and third-party data

5.1 You must provide accurate, complete, and current information when using the Services.

5.2 You are responsible for ensuring that:

  • the registration plate is correct;
  • the vehicle selected is the correct vehicle;
  • the RUC vehicle type, weight, distance band, or class shown is suitable for the vehicle;
  • any odometer reading, hubodometer reading, or distance information provided is accurate;
  • the rego period, RUC distance, or other selected product is appropriate;
  • the purchase request is suitable for your vehicle and intended use.

5.3 RUC Pass may obtain, display, process, or rely on vehicle information from third-party, public, commercial, or government-related data sources. These may include vehicle register data, RUC-related data, rego information, WOF information, stolen vehicle information, odometer history, vehicle attributes, and other vehicle-related records.

5.4 Vehicle data may not always be complete, current, accurate, available, or suitable for your specific circumstances.

5.5 RUC Pass may use vehicle data to provide account features, purchase flows, reminders, predictions, fraud prevention, support, reporting, product improvement, and other vehicle-management functionality.

5.6 You must check all vehicle and purchase details before confirming a purchase request.

5.7 If you provide incorrect information or select the wrong vehicle, distance, plate, odometer reading, renewal period, account, or other purchase detail, the resulting transaction may be incorrect, unusable, non-refundable, unable to be amended, or legally ineffective.

5.8 RUC Pass is not liable for losses, costs, fines, penalties, failed purchases, incorrect purchases, or enforcement consequences arising from inaccurate, outdated, unavailable, or incomplete information provided by you or by third-party data sources.

6. WOF, rego, RUC, and reminder features

6.1 The Services may show WOF, rego, RUC, odometer, vehicle, or reminder information.

6.2 Reminder and status features are provided for convenience only.

6.3 RUC Pass does not guarantee that any reminder, estimate, prediction, expiry date, due date, vehicle status, or alert will be accurate, complete, timely, or suitable for your vehicle.

6.4 Failure to receive a reminder or notification does not affect your legal responsibility to maintain valid RUC, rego, WOF, COF, or any other required vehicle status.

6.5 You must independently check your vehicle’s legal status before driving or using it on the road.

6.6 WOF information displayed in the Services does not mean your vehicle is roadworthy. RUC Pass does not inspect vehicles and does not provide mechanical, safety, inspection, or roadworthiness certification.

7. Payment, fees, and failed payments

7.1 You must pay all amounts shown at checkout.

7.2 The total payable may include but is not limited to:

  • the RUC amount;
  • the rego or licensing amount;
  • government or statutory fees;
  • third-party transaction fees;
  • RUC Pass service fees;
  • convenience fees;
  • payment processing fees;
  • bank, card, retail, or other payment method fees;
  • GST where applicable.

7.3 We may use third-party payment processors, banking providers, retail payment systems, or other service providers to process payments.

7.4 We do not store full payment card details unless expressly stated. Payment details may be handled by third-party payment providers subject to their own terms and privacy practices.

7.5 If your payment is declined, reversed, charged back, dishonoured, refunded in error, or otherwise not received in cleared funds, we may:

  • refuse to process the purchase request;
  • cancel or delay the request;
  • suspend or restrict your account;
  • recover any unpaid amount from you;
  • recover reasonable costs associated with chargebacks, reversals, fraud, or debt recovery.

7.6 If a RUC licence, rego renewal, or other transaction has already been purchased, submitted, completed, or issued before a payment issue is identified, you remain liable for the full amount.

8. Cancellations, refunds, and corrections

8.1 Once a purchase request has been submitted, we may begin processing it immediately.

8.2 Once a RUC licence, rego renewal, or other vehicle-related transaction has been purchased, submitted, issued, or processed, cancellation, amendment, or refund may not be possible.

8.3 Once processing has begun, a RUC Pass service fee may be non-refundable only to the extent that the relevant Services have been provided or reasonable costs have been incurred. This is subject to clause 8.4 and any refund or other right that cannot legally be excluded.

8.4 If a purchase cannot be completed due to an issue on our side, we may retry the purchase, contact you for further information, offer another reasonable resolution, or cancel the request. If we cancel an uncompleted request due to an issue on our side, we will promptly refund the amount paid for that request to the original payment method.

8.5 If a purchase cannot be completed due to incorrect information provided by you, a failed payment, suspected misuse, or circumstances outside our reasonable control, we may deduct only reasonable processing costs or service fees that may lawfully be retained before issuing any refund.

8.6 Any refund of government amounts, unused RUC distance, off-road travel, cancelled registration, incorrect vehicle details, or similar matters may need to be requested through the relevant official process. RUC Pass does not guarantee that any refund will be available.

8.7 Where reasonably able to do so, we may assist you with a correction or support request, but we are not responsible for outcomes controlled by public agencies, government systems, payment providers, enforcement agencies, or other third parties.

8.8 If a genuine material pricing or calculation error is discovered after a RUC licence, rego renewal, or other transaction has been completed or issued, we will not debit your payment method or demand additional payment unless we are legally entitled to do so. We may contact you to agree a reasonable resolution and reserve any rights available to us under law, including where you knew that there was a genuine mistake and that the amount charged was substantially lower than it should have been, or where you deliberately exploited the error.

8.9 Nothing in this section limits any refund, cancellation, replacement, compensation, or other right that cannot legally be excluded.

9. Licences, labels, confirmations, and records

9.1 Where a RUC licence, temporary licence, rego confirmation, receipt, label, transaction confirmation, or other record is issued or made available to us, we may provide it to you by email, in-app notification, download link, account record, or another reasonable method.

9.2 You are responsible for checking that any licence, renewal, confirmation, receipt, or record is correct and applies to the relevant vehicle.

9.3 You are responsible for complying with any legal requirement to display, carry, retain, or produce a RUC licence, rego label, temporary licence, receipt, or other record.

9.4 Physical labels, including RUC labels and rego labels, may be sent by NZTA or another relevant public agency to the registered address recorded for the vehicle. RUC Pass does not control the registered address recorded for the vehicle.

9.5 It is your responsibility to ensure that the registered address for your vehicle is current and correct before submitting a purchase or renewal request. You can update your vehicle address through NZTA at: https://transact.nzta.govt.nz/transactions/ChangeOfAddress/entry

9.6 RUC Pass does not control the production, dispatch, postal delivery, or arrival time of physical labels issued by NZTA, any public agency, or any third-party provider.

9.7 RUC Pass is not responsible for postal delays, lost mail, incorrect registered address details, incorrect delivery address details, failure to receive a physical label, or failure by you to display or retain required documents.

9.8 If a physical label has not arrived, you remain responsible for using any temporary licence, confirmation, receipt, or other permitted evidence in accordance with applicable legal requirements.

10. Accounts, account closure, and data deletion

10.1 To use the App, you may need to create an account using a valid email address and password.

10.2 You must keep your login details confidential and are responsible for activity that occurs under your account.

10.3 You must not allow another person to use your account unless they are authorised by you and have a legitimate reason to manage the relevant vehicle.

10.4 You may request closure or deletion of your RUC Pass account at any time from within the App, where that feature is available, or by contacting support@rucpass.co.nz. We may need to verify your identity before actioning a request made outside the authenticated App.

10.5 When you confirm an account deletion request, we will immediately disable access to the account, revoke active login sessions, remove saved vehicles and stored payment methods from the account view, and stop marketing communications. This begins a 30-day grace period.

10.6 During the 30-day grace period, you may contact support@rucpass.co.nz to request reinstatement. We may need to verify your identity before reinstating the account.

10.7 After the grace period ends, the account can no longer be reinstated. We will delete or irreversibly anonymise the personal profile, login credentials, saved vehicles, stored payment method references, and other information that is no longer required for a lawful purpose.

10.8 Account closure or deletion does not affect completed transactions, issued licences, outstanding payments, legal obligations, or rights and obligations intended to survive account closure. We may retain limited transaction, order, invoice, credit note, refund, payment, accounting, tax, audit, fraud-prevention, security, dispute, and regulatory records where, and only for as long as, retention is reasonably necessary or required by law. Retained records will not be used for marketing.

10.9 Following final deletion, the email address will no longer be linked to a recoverable account and may ordinarily be used to create a new account. We may still restrict registration where reasonably necessary and permitted by law for fraud prevention, security, enforcement, or compliance purposes.

10.10 Suspending or restricting an account under section 21 is not account deletion. For more information about how we collect, use, store, retain, delete, and disclose personal information, please see our Privacy Policy.

11. Communications

11.1 By creating an account, submitting your email, adding a vehicle, submitting a purchase request, or otherwise using the Services, you consent to receiving service-related communications.

11.2 Service-related communications may include but are not limited to:

  • account notices;
  • purchase confirmations;
  • RUC licence or temporary licence emails;
  • rego renewal confirmations;
  • support messages;
  • security notices;
  • payment notices;
  • operational notices;
  • reminder notices;
  • changes to these Terms, the Privacy Policy, or the Services.

11.3 You may opt out of non-essential marketing communications at any time.

11.4 You may continue to receive service-related communications where reasonably necessary for account administration, transaction processing, legal compliance, safety, security, or operation of the Services.

12. Promotions and promotion terms

12.1 RUC Pass may offer promotions, giveaways, discounts, fee waivers, prize draws, referral programmes, or other promotional benefits from time to time. Each promotion may be subject to separate promotion-specific terms and conditions (“Promotion Terms”), which will be made available through the Services or at /terms/promotions.

12.2 The Promotion Terms for a particular promotion apply when you participate in, enter, redeem, claim, qualify for, or receive a benefit from that promotion. Where the applicable Promotion Terms expressly provide for automatic entry or eligibility based on account status, a vehicle linked to an account, a qualifying purchase, or another action, those Promotion Terms apply when the stated qualifying conditions are met during the promotion period.

12.3 Promotion Terms apply in addition to these Terms. If there is an inconsistency, the applicable Promotion Terms prevail only to the extent of that inconsistency and only in relation to the relevant promotion.

12.4 Accepting these Terms does not by itself mean that you accept or participate in every promotion. Terms for unrelated promotions do not apply to you, and new or updated Promotion Terms do not retrospectively alter an earlier promotion, entry, benefit, or purchase unless required by law or expressly agreed with you.

13. Acceptable use

13.1 You must not misuse the Services.

13.2 You must not:

  • use the Services for unlawful, fraudulent, misleading, abusive, or harmful purposes;
  • submit false, inaccurate, or misleading vehicle information;
  • use the Services to monitor, look up, or interfere with vehicles in which you have no legitimate interest;
  • attempt unauthorised access to accounts, systems, data, APIs, or infrastructure;
  • scrape, crawl, harvest, copy, or extract data at scale without our written permission;
  • reverse engineer, bypass, interfere with, or compromise the Services;
  • introduce malware, malicious code, automated abuse, or excessive load;
  • use the Services to harass, track, intimidate, or harm any person;
  • exploit pricing, refund, payment, processing, or data errors.

13.3 We may take action in response to misuse of the Services in accordance with section 21.

14. Third-party services and data providers

14.1 The Services may rely on, integrate with, or link to third-party websites, tools, payment providers, banking providers, analytics services, data providers, public-agency services, official transaction channels, or other external services.

14.2 Third-party services are not under our control.

14.3 We do not guarantee third-party availability, accuracy, performance, security, processing times, or outcomes.

14.4 You may be required to comply with third-party terms, conditions, rules, policies, fees, or processes.

14.5 RUC Pass is not liable for loss or damage arising from third-party systems, data, outages, errors, delays, refusals, changes, or decisions.

15. Intellectual property

15.1 Except where otherwise stated, all intellectual property rights in the Services and their content, including text, branding, logos, design elements, software, workflows, layouts, databases, and related materials, are owned by RUC ON RAILS LIMITED or its licensors.

15.2 You may view the Site, install and use the App on devices you own or control, and use the Services for personal or ordinary business vehicle-management purposes.

15.3 You must not reproduce, distribute, modify, reverse engineer, commercially exploit, or copy substantial portions of the Services without our prior written consent.

15.4 Nothing in these Terms transfers ownership of any intellectual property rights to you.

16. Privacy

16.1 We collect, use, store, and disclose personal information in accordance with the Privacy Act 2020 and our Privacy Policy.

16.2 Our Privacy Policy forms part of these Terms and is available at /privacy.

16.3 By using the Services, you acknowledge that vehicle, account, payment, purchase, odometer, reminder, support, and transaction information may need to be collected, used, stored, disclosed, or processed in order to provide the Services, process purchase requests, prevent fraud, meet legal or accounting obligations, and support customer service.

16.4 Privacy requests, including requests to access or correct personal information, close an account, or request deletion of personal information, will be handled in accordance with our Privacy Policy and applicable law.

17. Consumer guarantees

17.1 Nothing in these Terms limits any rights you may have under the Consumer Guarantees Act 1993, Fair Trading Act 1986, Privacy Act 2020, or any other law that cannot legally be excluded.

17.2 Where you acquire the Services in trade, we also supply the Services in trade, and all requirements for contracting out under section 43 of the Consumer Guarantees Act 1993 are satisfied, including that it is fair and reasonable for the parties to be bound by this clause, the parties agree that the Consumer Guarantees Act 1993 does not apply to that supply. This clause does not apply to ordinary consumer use.

18. Disclaimers

18.1 To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.

18.2 We do not guarantee that:

  • the Services will be uninterrupted, secure, or error-free;
  • vehicle data will always be accurate or complete;
  • RUC, rego, WOF, or vehicle reminders will always be correct or timely;
  • purchase requests will be processed instantly;
  • third-party systems will always be available;
  • a RUC licence, temporary licence, rego renewal, confirmation, label, or other record will be issued within any particular timeframe;
  • physical labels will be produced, dispatched, delivered, or received within any particular timeframe;
  • the Services will meet your specific requirements.

18.3 You use the Services at your own risk.

19. Limitation of liability

19.1 Subject to section 17 and to the maximum extent permitted by New Zealand law, RUC Pass and RUC ON RAILS LIMITED are not liable for any indirect, consequential, special, or punitive loss, including loss of profit, loss of revenue, loss of opportunity, loss of goodwill, vehicle downtime, or business interruption, except to the extent that the loss cannot legally be excluded.

19.2 To the maximum extent permitted by law, we are not liable for loss, cost, damage, fine, infringement, penalty, enforcement action, or liability arising from:

  • your failure to hold valid RUC, rego, WOF, COF, or any other required vehicle status;
  • your use of a vehicle before a RUC licence, rego renewal, or other required status has been issued, updated, or confirmed;
  • incorrect vehicle, odometer, payment, account, or renewal information supplied by you;
  • your failure to check a licence, renewal, confirmation, temporary licence, receipt, or record;
  • delays in processing a purchase request;
  • third-party system outages, delays, errors, refusals, or incorrect data;
  • postal delays, lost labels, or delivery to an incorrect registered address;
  • changes to RUC rates, rego charges, rules, requirements, or public-agency processes;
  • misuse of your account or failure to secure your login details.

19.3 If you acquire the Services in trade and clause 17.2 applies, our total aggregate liability to you, whether in contract, tort including negligence, equity, statute, or otherwise, is limited to the greater of:

  • the amount paid by you to us for the transaction or Services directly giving rise to the claim; or
  • NZD $1,000.

19.4 The exclusions and limitation in this section do not apply to fraud or wilful misconduct by us, or to liability or statutory rights that cannot legally be excluded or limited.

20. Indemnity

20.1 If you acquire the Services in trade and clause 17.2 applies, you indemnify RUC Pass and RUC ON RAILS LIMITED against reasonable direct losses, liabilities, costs, and expenses to the extent they are caused by:

  • your fraudulent, unlawful, or deliberately abusive use of the Services;
  • your intentional or reckless material breach of these Terms;
  • your infringement of a third party's rights; or
  • fraudulent chargebacks, payment reversals, or unauthorised account use caused or knowingly facilitated by you.

20.2 The indemnity in clause 20.1 does not apply to the extent that a loss was caused or contributed to by our breach of these Terms, negligence, fraud, or wilful misconduct, and it does not limit any right or protection that cannot legally be excluded.

21. Suspension and termination

21.1 We may temporarily suspend, restrict, investigate, or terminate an account where we reasonably believe that:

  • the account has breached these Terms or applicable law;
  • the account has been used fraudulently, abusively, dishonestly, or without proper authority;
  • the account presents a payment, chargeback, security, privacy, legal, regulatory, or operational risk;
  • the user has attempted to exploit a pricing, promotion, payment, refund, entry, or system error;
  • continued access could cause harm to RUC Pass, another person, a public agency, a payment provider, or the Services; or
  • suspension or termination is required or reasonably requested by law, a regulator, a public agency, a payment provider, or another relevant authority.

21.2 The action we take will be reasonable and proportionate having regard to the circumstances. We may suspend or restrict an account while we investigate whether termination is appropriate.

21.3 Where reasonably practicable, we will notify you that your account has been suspended or terminated and provide a general reason. We may act immediately and without prior notice where necessary to protect the Services or another person, prevent fraud or loss, preserve an investigation, comply with law, or address an urgent security or payment risk. We may withhold information where disclosure would be unlawful or create a security, fraud, privacy, or enforcement risk.

21.4 Suspension or termination prevents further use of the account but does not itself delete the account or its records.

21.5 If an account has a pending purchase request when it is suspended or terminated, we may complete, pause, investigate, or cancel that request as reasonably appropriate. If we cancel a request before the relevant transaction has been supplied or issued, we will promptly refund amounts paid for the uncompleted request to the original payment method, less only any reasonable costs that may lawfully be retained and subject to your statutory rights.

21.6 Completed transactions, issued licences, outstanding payments, refunds, disputes, legal obligations, accounting records, and provisions intended to survive termination remain unaffected.

21.7 We may discontinue the Services, or any part of them, where reasonably necessary. Where practicable, we will give reasonable notice of a material discontinuation that affects active users or pending purchase functionality.

21.8 Clauses relating to payment, refunds, intellectual property, privacy, liability, indemnity, and any other clauses intended to survive termination will continue after termination.

22. Changes to these Terms

22.1 We may update these Terms from time to time by publishing the updated version on the Site or within the App.

22.2 Each version will state its effective date. Changes apply prospectively from that date unless applicable law requires otherwise.

22.3 A purchase request is governed by the version of these Terms accepted when that request was submitted, unless a change is required by law or you expressly agree to a later version.

22.4 If we make a material change affecting account access, purchase functionality, payment, cancellation, or your legal rights, we will take reasonable steps to notify affected users before the change takes effect where practicable.

22.5 Your continued use of the Services for new activity after updated Terms take effect constitutes acceptance of the updated Terms. It does not retrospectively change the terms governing a purchase request already submitted.

23. Governing law and jurisdiction

23.1 These Terms are governed by the laws of New Zealand.

23.2 You submit to the exclusive jurisdiction of the New Zealand courts.
