Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the website known as RUC Pass, located at https://www.rucpass.co.nz (the “Site”).

The Site is operated by RUC ON RAILS LIMITED. RUC Pass is a product and brand operated by RUC ON RAILS LIMITED and is not a separate legal entity.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site.

1. Operator and legal identity

1.1 The Site is owned and operated by RUC ON RAILS LIMITED, a company incorporated in New Zealand.

1.2 Any reference to “RUC Pass”, “we”, “us”, or “our” refers to RUC ON RAILS LIMITED in its capacity as operator of the Site.

2. What the Site is (and is not)

2.1 The Site provides general product information about RUC Pass, including planned features, availability information, and updates.

2.2 RUC Pass is not currently available for purchase through the Site, and the Site does not currently enable you to purchase Road User Charges (RUC), create an account, complete transactions, or access a customer portal.

2.3 Nothing on the Site constitutes legal advice, financial advice, tax advice, compliance advice, or official government guidance.

2.4 Any reliance on information obtained through the Site is at your own risk.

3. Pre-launch expressions of interest and communications

3.1 From time to time, we may allow you to submit your email address or other details to receive updates, register interest, or be notified about launch timing (“EOI Submissions”).

3.2 By making an EOI Submission, you consent to receiving service-related communications about RUC Pass (for example: launch updates, availability, product changes, or operational notices). You may unsubscribe from non-essential communications at any time.

3.3 We do not guarantee any launch date, availability, geographic coverage, pricing, or feature set. Plans can change. Reality tends to do that.

4. Future services and changes

4.1 We intend to develop and expand RUC Pass over time. Features described on the Site may be amended, delayed, discontinued, or replaced.

4.2 If and when transaction functionality becomes available, additional terms may apply (including terms covering payments, fees, refunds, and service rules). Those terms will be posted on the Site and may be incorporated into these Terms.

5. Third-party services and links

5.1 The Site may link to third-party websites, tools, services, or providers. These are not under our control.

5.2 We do not endorse, guarantee, or accept responsibility for third-party content, services, availability, accuracy, or performance.

6. Acceptable use

6.1 You must not misuse the Site, attempt unauthorised access, interfere with its operation, introduce malware, or use the Site in a way that is unlawful or harmful.

6.2 You must not scrape, harvest, or crawl the Site at scale, or use automated systems to access the Site in a manner that imposes an unreasonable load, without our written permission.

6.3 We may block, rate-limit, or restrict access to the Site at our discretion.

7. Intellectual property

7.1 Except where otherwise stated, all intellectual property rights in the Site and its content (including text, branding, logos, design elements, and layout) are owned by RUC ON RAILS LIMITED or its licensors.

7.2 You may view the Site and share links to it. You must not reproduce, distribute, or commercially exploit substantial portions of the Site without our prior written consent.

8. Privacy

8.1 We collect, use, store, and disclose personal information in accordance with the Privacy Act 2020 (New Zealand) and our Privacy Policy.

8.2 The Privacy Policy forms part of these Terms and is available at /privacy.

9. Disclaimers and limitation of liability

9.1 To the maximum extent permitted by New Zealand law, we exclude all liability for loss or damage arising from or in connection with your use of the Site, including loss arising from:

  • reliance on information on the Site
  • Site availability, downtime, or errors
  • third-party links or services
  • any delay or change to product availability or features

9.2 Where liability cannot be excluded, our total aggregate liability to you, whether in contract, tort (including negligence), equity, statute, or otherwise, is limited to the greater of:

  • NZD $1,000; or
  • the maximum amount permitted by law.

10. Indemnity

You agree to indemnify and hold harmless RUC Pass and RUC ON RAILS LIMITED from any claims, liabilities, losses, damages, costs, or expenses (including legal fees) arising from your breach of these Terms, misuse of the Site, or infringement of third-party rights.

11. Changes to these Terms

11.1 We may update these Terms at any time by publishing the updated version on the Site.

11.2 Your continued use of the Site after changes are published constitutes acceptance of the updated Terms.

12. Governing law and jurisdiction

These Terms are governed by the laws of New Zealand. You submit to the exclusive jurisdiction of the New Zealand courts.
