Terms and conditions for the RUC Pass Launch Promotion.

These RUC Pass Launch Promotion Terms and Conditions (“Promotion Terms”) apply to the RUC Pass Launch Giveaway and Fee Waiver Campaign. These Promotion Terms apply in addition to the standard RUC Pass Terms and Conditions. By participating in this promotion, creating an account, adding a vehicle, or making a purchase within the App or Site during the Promotion Period, you agree to be bound by both these Promotion Terms and the standard Terms and Conditions.

1. The Promoter

1.1 The promoter is RUC ON RAILS LIMITED (trading as RUC Pass), a registered New Zealand company (Company Number: 9362845, NZBN: 9429053041746), having its registered office at 26 Hobson Street, Suite 15587, Auckland, 1010, New Zealand (“Promoter”, “we”, “us”, “our”).

2. Promotion Period

2.1 The promotion commences at 12:01 AM New Zealand Standard Time (NZST) on 16 July 2026 and closes at 11:59 PM NZST on 16 August 2026 (“Promotion Period”).

2.2 Any account creations, vehicle additions, or purchase transactions completed outside of the Promotion Period will not qualify for entries into the Launch Giveaway draw.

3. Eligibility Criteria

3.1 To be eligible to enter the Launch Giveaway or receive the promotional fee structures, you must be a natural person who:

  • Is a legal resident of New Zealand;
  • Is aged 18 years or older at the time of entry; and
  • Holds a valid, active RUC Pass user account.

3.2 The following persons are strictly excluded from eligibility and cannot win the prize:

  • Directors, shareholders, executives, and employees (whether full-time, part-time, or casual) of RUC ON RAILS LIMITED;
  • Independent contractors, software developers, marketing agencies, or professional advisors engaged by the Promoter during the Promotion Period; and
  • The Immediate Family Members of any person listed above. For the purposes of these terms, "Immediate Family Member" means any parent, sibling, spouse, civil union partner, de facto partner, or child.

4. How to Earn Entries

4.1 Eligible participants can accumulate entries during the Promotion Period through the following structural mechanics:

  • Account & Vehicle Entry: Every valid RUC Pass account that has at least one (1) valid vehicle registration plate loaded at any point during the Promotion Period will receive one (1) entry. This entry is automatic and applies equally to newly created accounts and existing accounts created prior to the Promotion Period. Limit of one (1) entry per user account via this method.
  • Type 1 (Diesel / Heavy EV / Light EV) Purchase Entry: Receive one (1) additional entry for every single block of 1,000 km of Type 1 RUC successfully purchased through the RUC Pass application during the Promotion Period.
  • Type 12 (PHEV) Purchase Entry: Receive one (1) additional entry for every two blocks (totaling 2,000 km) of Type 12 Plug-in Hybrid RUC successfully purchased through the RUC Pass application during the Promotion Period.

4.2 Fraud and Anti-Gaming Controls:

Vehicles added must be authentic records registered on the New Zealand Motor Vehicle Register. The Promoter reserves the absolute right to disqualify entries, suspend accounts, or invalidate prize claims if it detects "gaming" behaviors. This includes, but is not limited to: creating multiple dummy accounts, adding vehicle plates without the vehicle owner's permission, or repeatedly deleting and re-adding the same registration plate to manufacture false entries.

5. The Prize Structure & Cash Alternative

5.1 There is one (1) single grand prize pool drawing across the entire promotion. One winner will be randomly drawn from the total eligible pool of entries.

5.2 The drawn winner will be entitled to select only one (1) option from the following three prize variants:

  • Option A (Type 1 RUC): 5,000 km of Type 1 Road User Charges purchased on their behalf by the Promoter for a nominated, eligible RUC-liable vehicle linked to their account. The Promoter will cover the exact base cost of the 5,000 km units plus the associated $12.44 NZTA online transaction fee.
  • Option B (Type 12 RUC): 10,000 km of Type 12 Road User Charges purchased on their behalf by the Promoter for a nominated, eligible Type 12 PHEV vehicle linked to their account. The Promoter will cover the exact base cost of the 10,000 km units plus the associated $12.44 NZTA online transaction fee.
  • Option C (Cash Alternative): A lump-sum cash payment of exactly $392.44 New Zealand Dollars (NZD).

5.3 Payout Terms: If the winner selects Option C, the funds will be delivered strictly via direct electronic bank credit transfer into a verified New Zealand bank account held in the legal name of the verified winner. The prize cannot be transferred to overseas bank accounts or third-party accounts not matching the registered winner's identification.

6. Winner Selection, Notification, and Redraws

6.1 The Draw: The official draw will take place on 17 August 2026. The winner will be selected via an automated random electronic drawing system from all valid entries recorded during the Promotion Period.

6.2 Notification: The Promoter will attempt to contact the drawn winner via the verified email address linked to their RUC Pass user account within 48 hours of the draw.

6.3 Forfeiture & Unclaimed Prize Redraw: The drawn winner must respond to the notification email, confirm their eligibility details, and declare their chosen prize option within seven (7) clear calendar days of the Promoter sending the initial notification email. If the winner fails to respond, cannot be contacted, or is found to be ineligible under Clause 3.2, the prize is automatically forfeited. The Promoter will then conduct a consecutive random electronic redraw on the next business day, applying the same rules and response timelines until a valid winner successfully claims the prize.

7. Launch Fee Waiver Structure

7.1 First Checkout Instance: For the first successful RUC purchase transaction executed by an eligible user account during the Promotion Period, the Promoter will completely waive the RUC Pass platform service fee and the associated credit card processing fee. The user will pay only the standard official baseline rate ($76.00 per 1,000 km block for Type 1, or $38.00 per 1,000 km block for Type 12) plus the statutory mandatory $12.44 NZTA online admin transaction fee.

7.2 Subsequent Checkout Instances: For any additional RUC purchase transactions executed by the same user account during the Promotion Period (up until 11:59 PM NZST on 16 August 2026), the Promoter will continue to waive the platform service fee. However, standard credit card payment processing fees will apply to these subsequent transactions and will be clearly shown at the app checkout interface.

8. General Legal Framework

8.1 Independent Operation: This promotion is operated solely by RUC ON RAILS LIMITED. It is not sponsored, endorsed, administered by, or associated with Apple Inc., Google LLC, Meta Platforms Inc., Reddit Inc., or the New Zealand Transport Agency Waka Kotahi (NZTA).

8.2 Statutory Protections: Nothing in these terms limits, excludes, or modifies any non-excludable statutory consumer protections available to participants under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.

8.3 Governing Law: These Promotion Terms are governed by, interpreted, and enforced in accordance with the laws of New Zealand. All participants submit to the exclusive jurisdiction of the courts of New Zealand.
